TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW IN THE UNITED STATES, IN NO EVENT SHALL JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JET'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in their entirety. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use or misuse of the Site or our services;
• Your violation of any applicable law, regulation, or third-party rights, including intellectual property rights or privacy rights;
• Any content or information you submit, post, or transmit through the Site;
• Your negligence or willful misconduct;

Jet's Pizza reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without the prior written consent of Jet's Pizza.

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to any conflict of law principles that would cause the laws of another jurisdiction to apply. To the extent that federal law applies, these Terms shall be construed in accordance with the Federal Trade Commission Act (FTC Act) and other applicable federal consumer protection statutes.

For users located in California, these Terms shall also be interpreted in compliance with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), as well as all other applicable California state laws and regulations.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Site or services that is not subject to mandatory arbitration as described in Section 11 shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States. You hereby irrevocably consent to personal jurisdiction and venue in such courts and waive any objection as to inconvenient forum.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site informally by contacting Jet's Pizza at [email protected]. We will attempt in good faith to resolve the dispute within thirty (30) days of receiving your notice.

11.2 Binding Arbitration

If informal resolution is unsuccessful, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Site or services (collectively, "Disputes"), shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in court, except as provided in Section 11.4 below.

The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.

11.3 Class Action Waiver

YOU AND JET'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you and Jet's Pizza each waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Nothing in this arbitration provision shall prevent either party from bringing small claims court actions where applicable.

11.5 Arbitration Fees

The allocation of arbitration fees shall be governed by the AAA's Consumer Arbitration Rules. Jet's Pizza will bear the costs of arbitration to the extent required by applicable law or AAA rules.

12. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you access or use the Site or services. Jet's Pizza reserves the right, in its sole discretion, to suspend or terminate your access to the Site and services, with or without notice and without liability to you, for any reason or no reason, including if we believe that you have violated or acted inconsistently with these Terms.

You may terminate your use of the Site and services at any time by ceasing to use the Site and, if applicable, by closing your user account. Upon termination for any reason:

• All rights and licenses granted to you under these Terms will immediately cease;
• You must cease all use of the Site and Content;
• Any outstanding payment obligations shall survive termination;
• Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions.

Termination of your account or access to the Site does not release you from any obligations or liability that accrued prior to the date of termination.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Jet's Pizza on the Site, constitute the entire agreement between you and Jet's Pizza concerning your use of the Site and services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written, between you and Jet's Pizza with respect to such subject matter.

No oral or written information or advice given by Jet's Pizza or any of its authorized representatives shall create a warranty or in any way increase the scope of Jet's Pizza's obligations under these Terms.

16. No Third-Party Beneficiaries

These Terms of Service are for the sole and exclusive benefit of you and Jet's Pizza. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms, except as expressly provided herein.

17. Force Majeure

Jet's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, civil unrest, strikes or labor disputes, utility failures, internet or telecommunications outages, supply chain disruptions, or any other event beyond Jet's Pizza's reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, Jet's Pizza shall be excused from performance for the duration of such event.

18. Electronic Communications

By using our Site or services, you consent to receive electronic communications from Jet's Pizza, including notices, agreements, disclosures, and other information. You agree that any notices, agreements, disclosures, or other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

20. Miscellaneous Provisions

Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Jet's Pizza. Jet's Pizza may freely assign its rights and obligations under these Terms without restriction.

Headings: Section headings in these Terms are for convenience only and shall have no legal or contractual effect.

Language: These Terms of Service are drafted in the English language. In the event of any conflict or discrepancy between these Terms and any translation thereof, the English language version shall prevail.

No Agency: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Jet's Pizza. You do not have any authority to bind Jet's Pizza in any respect.
